Important: This website and the Opening Packs offered through it are exclusively for persons purchasing wholly or mainly for purposes relating to their trade, business, craft or profession. They are not available for consumer or personal purchases.

1. About us and these Terms

1.1. We are Eve Taylor (London) Limited, a private limited company registered in England and Wales under company number 00936251. Our registered office is Unit 1 Mallard Business Centre, Bretton, Peterborough, Cambridgeshire, PE3 8YR. You can contact us at webadmin@eve-taylor.com.

1.2. These Terms govern applications for an Eve Taylor trade account and purchases of Opening Packs and any other products made available through www.joinevetaylor.com.

1.3. By registering, submitting an application or placing an Order, you confirm that you are acting wholly or mainly for purposes relating to your trade, business, craft or profession and agree to these Terms.

1.4. These Terms apply together with our Privacy Policy and Website Terms of Use. If there is a conflict relating to an Order, these Terms take priority. Our Online Selling Policy also applies where we have authorised you to resell Products online.

1.5. Please save or print a copy of these Terms. We will also provide a copy, or a link to a copy that you can save, in connection with your Order.

(a) “Application” means your application for a Trade Account, including the information and documents submitted with it;

(b) “Opening Pack” means a starter selection of Products offered to eligible new trade customers through the Website;

(c) “Order” means an order submitted through the Website;

(d) “Order Acceptance” means our email confirming that your Application has been approved and your Order has been accepted for dispatch;

(e) “Products” means the Eve Taylor products offered for sale through the Website;

(f) “Trade Account” means an account approved by us for professional business purchases;

(g) “Website” means www.joinevetaylor.com; and

(h) “we”, “us” and “our” mean Eve Taylor (London) Limited, and “you” and “your” mean the person or business submitting the Application or Order.

3. Trade-only eligibility

3.1. Opening Packs and Trade Accounts are available only to suitably qualified beauty, skincare or spa professionals purchasing for professional business use.

3.2. You must provide accurate and complete information and upload:

(a) evidence of relevant professional qualifications; and

(b) evidence of current professional treatment liability insurance appropriate to the treatments you perform or intend to perform.

3.3. You warrant that the documents and information supplied are authentic, current and applicable to your professional activities. You must not use another person’s qualifications, insurance or identity.

3.4. We will review the information and may reasonably ask for further information, replacement documents or verification from an issuer or insurer. Products will not be dispatched until the required checks have been completed and the Application approved.

3.5. If we ask for further information, you must provide it within 10 working days. If you do not, we may close the Application and cancel the Order under clause 5.

3.6. You are responsible for keeping your qualifications and insurance current and suitable for the treatments you provide. We may request updated evidence at any time and may suspend or close a Trade Account where eligibility is no longer maintained.

4. Placing an Order and contract formation

4.1. To place an Order, you must create an account, provide the required Application information and documents, check the contents of your basket, and complete payment through the Website.

4.2. Submitting an Order is an offer by you to purchase the Products subject to these Terms and to our approval of your Application.

4.3. Payment may be taken when you submit the Order. Taking payment and sending an acknowledgement of receipt do not mean that we have approved your Trade Account or accepted your Order.

4.4. A binding contract for the supply of Products is formed only when we send the Order Acceptance. Each Order accepted by us is a separate contract.

4.5. Before Order Acceptance, we may contact you to correct an obvious error, confirm availability or agree a change. We will not substitute a Product without your agreement.

4.6. If part of an Order is unavailable, we may reject that part and refund the amount paid for it, or contact you to agree an alternative. We will identify the accepted Products in the Order Acceptance.

5. Refusal, cancellation and verification refunds

5.1. We may reject an Application or Order before Order Acceptance where we reasonably determine that:

(a) you do not meet our published professional eligibility requirements;

(b) required information or documentation is missing, invalid, expired, inconsistent or cannot reasonably be verified;

(c) information supplied is false or misleading;

(d) we reasonably suspect fraud, misuse, unlawful activity or unauthorised resale;

(e) a Product is unavailable or there is an obvious pricing or description error; or

(f) we cannot lawfully open or service the Trade Account or fulfil the Order.

5.2. Where reasonably practicable, we will explain the reason for rejection and may allow you a reasonable opportunity to provide corrected or additional documentation.

5.3. If we reject the Application or Order before Order Acceptance, we will cancel the Order and refund all sums paid for it, including any delivery charge, to the original payment method. We will initiate the refund within five working days after cancellation. Your bank or payment provider may take additional time to credit the funds.

5.4. A cancellation under this clause is not a product return because no contract for supply has been formed and the Products have not been dispatched.

6. Products

6.1. Products are subject to availability. Product packaging, ingredients, presentation and quantities may change from time to time, but we will not make a material substitution after Order Acceptance without your agreement.

6.2. We use reasonable efforts to display Products accurately. Images are illustrative, and colours and appearance may vary according to your device and normal manufacturing variations.

6.3. You are responsible for assessing whether Products are suitable for your professional services, clients and intended use, except to the extent that you reasonably rely on specific written advice provided by us.

6.4. You must follow the Product label, instructions, contraindications, storage requirements and any professional training applicable to the Product. You must carry out consultations and patch or sensitivity testing where professionally appropriate.

7. Prices and payment

7.1. Product prices shown on the Website are in pounds sterling and include VAT unless expressly stated otherwise. The price applicable to an Order is the price displayed when you submit it, except in the case of an obvious error.

7.2. Before payment, the checkout will show the Product subtotal, discounts, delivery charge, VAT and total payable.

7.3. You must pay in full when submitting the Order using a payment method offered at checkout. Payments are processed by our payment service provider. We do not receive your complete payment-card details.

7.4. We may change prices and delivery charges at any time, but a change will not affect an Order already accepted.

7.5. If a payment is reversed, declined or found to be unauthorised, we may withhold dispatch, cancel an unaccepted Order, suspend the Trade Account or exercise any other lawful remedy.

8. Delivery

8.1. We deliver Opening Packs only to addresses in the United Kingdom that are accepted by the Website. International enquiries may be referred to an authorised distributor or representative.

8.2. Orders below £100 excluding VAT after discounts attract a delivery and packing charge of £7.25 excluding VAT (£8.70 including VAT at 20%). Orders of £100 or more excluding VAT after discounts qualify for free standard delivery to UK Mainland addresses. Any different or additional charge for a non-mainland address will be displayed before payment.

8.3. We use a tracked courier service and may require a signature. You may provide an alternative delivery address during checkout, subject to our fraud and verification checks.

8.4. UK Mainland Orders usually arrive within 7–10 working days after dispatch. Delivery estimates are not guaranteed. Orders are not dispatched until verification and Order Acceptance are complete.

8.5. Couriers ordinarily deliver Monday to Friday between 9:00am and 5:00pm. Delivery may take longer around public holidays and during our Christmas and New Year closure.

8.6. If nobody is available, the courier may leave instructions for redelivery or collection. The courier may make only one further delivery attempt. If an Order is returned to us because delivery could not be completed, we may charge the reasonable cost of redelivery. We will tell you the amount before redispatching.

8.7. Delivery is completed, and risk in the Products passes to you, when the Products are delivered at the delivery address or collected on your behalf. Ownership passes only when we have received payment in full.

8.8. You must notify us promptly if an Order has not arrived within the expected period. We will investigate with the courier and, where appropriate, arrange replacement or refund.

9. Inspection, returns and defective Products

9.1. These Terms apply only to business purchases. Unless expressly stated in this clause, we do not offer a general right to cancel or return Products merely because you have changed your mind.

9.2. Before Order Acceptance, you may ask us to cancel by emailing webadmin@eve-taylor.com. We will use reasonable efforts to stop processing, but cannot guarantee cancellation once an Order has been accepted or prepared for dispatch.

9.3. At our discretion, we may agree to exchange a Product ordered in error if you contact us within five working days after delivery and the Product is unopened, unused, undamaged and in its original saleable packaging. You are responsible for reasonable return and redelivery costs. No exchange is authorised until we confirm it in writing.

9.4. You must inspect the Products promptly and notify us of visible damage, shortages or incorrect Products within five working days after delivery. This period helps us investigate with the courier and does not exclude a right or remedy that cannot lawfully be excluded.

9.5. If a Product is defective, damaged in transit, incorrectly supplied or materially different from its description, contact webadmin@eve-taylor.com with the Order number, details of the problem and, where reasonably requested, photographs.

9.6. Where we accept that a Product is defective, damaged or incorrectly supplied, we will, at our option and subject to applicable law, repair or replace it or refund the price paid. We will reimburse reasonable return costs for Products we accept are defective, damaged or incorrectly supplied.

9.7. Do not return a Product until we have provided authorisation and return instructions. Authorised returns must be sent to the address specified in those instructions, with proof of purchase. Obtain and retain proof of posting.

9.8. We aim to initiate an agreed refund within 10 working days after receiving and inspecting the returned Products. Refunds will be made to the original payment method.

9.9. Nothing in these Terms excludes or limits any right or remedy that cannot lawfully be excluded or limited.

10. Trade Account access

10.1. After approval, your Trade Account may be transferred to or made accessible through the main Eve Taylor trade ordering platform and associated systems. Future purchases through another platform may be governed by the terms displayed on that platform.

10.2. You must keep login details secure and must not allow an unauthorised person to use the Trade Account. Tell us promptly if you suspect unauthorised access.

10.3. We may suspend or close a Trade Account on reasonable notice if you no longer meet our eligibility requirements. We may act immediately where we reasonably suspect fraud, a material safety risk, unauthorised resale, misuse of the account or a serious breach of these Terms.

10.4. Suspension or closure does not affect rights or liabilities already accrued and will not affect an Order already accepted unless we have lawful grounds to cancel it.

11. Online selling and resale

11.1. Approval of a Trade Account does not authorise online resale of Products.

11.2. You may sell Products online only with our prior written approval and in accordance with the version of our Online Selling Policy supplied or made available to you. Details may be requested from marketing@eve-taylor.com.

11.3. We may suspend or withdraw online-selling permission, or suspend or close a Trade Account, for a material breach of that policy, subject to clause 10.

12. Warranty

12.1. We warrant that, at delivery, Products will be of satisfactory quality, materially correspond with their description and comply with any other term implied by law that cannot validly be excluded.

12.2. This warranty does not cover deterioration or damage caused after delivery by improper storage, failure to follow instructions, misuse, contamination, alteration, use after expiry or ordinary wear and tear.

13. Liability

13.1. Nothing in these Terms limits or excludes our liability for:

(a) death or personal injury caused by our negligence;

(b) fraud or fraudulent misrepresentation;

(c) breach of the terms as to title implied by law; or

(d) any other liability that cannot lawfully be limited or excluded.

13.2. Subject to clause 13.1, we will not be liable for loss of profit, revenue, business, anticipated savings, goodwill or data, business interruption, or any indirect or consequential loss.

13.3. Subject to clauses 13.1 and 13.2, our total aggregate liability arising out of or relating to an Order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed 100% of the total amount paid or payable for that Order.

13.4. We are not responsible for loss caused by your failure to follow Product instructions, contraindications or storage requirements, or by treatment decisions for which you are professionally responsible, except to the extent the loss was caused by our breach of these Terms or negligence.

13.5. Nothing in this clause limits your duty to take reasonable steps to mitigate any loss.

14. Events beyond our reasonable control

14.1. We are not liable for delay or failure caused by an event beyond our reasonable control, including disruption to transport, utilities, telecommunications, payment systems, suppliers, labour or public authorities.

14.2. We will take reasonable steps to minimise the effect and will resume performance when reasonably possible. If the event materially prevents delivery for more than 30 days after Order Acceptance, either party may cancel the affected Order by written notice, and we will refund amounts paid for Products not supplied.

15. Personal information

15.1. We process personal information submitted during registration, document verification, ordering and Trade Account administration as described in our Privacy Policy.

15.2. This may include sharing relevant information with service providers used to verify Applications, operate our systems, process payments and deliver Orders, and transferring relevant account and verification information to the main Eve Taylor trade ordering platform.

15.3. Please read the Privacy Policy before submitting an Application. It explains the purposes and lawful bases for processing, retention periods, recipients of information and your data-protection rights.

16. Changes to these Terms

16.1. We may amend these Terms to reflect changes in law, regulation, technology, our systems or our reasonable business requirements.

16.2. The Terms in force when you submit an Order will apply to that Order. A later amendment will not retrospectively change an Order already accepted.

16.3. The current version and effective date will be posted on the Website. Where a change materially affects an existing Trade Account, we will take reasonable steps to bring it to the account holder’s attention before it applies to future Orders.

17. Other important terms

17.1. We may transfer our rights and obligations under these Terms to another organisation, provided this does not materially reduce your rights in relation to an accepted Order. You may not transfer your rights or obligations without our prior written consent.

17.2. These Terms and each accepted Order constitute the entire agreement between you and us concerning that Order. You acknowledge that you have not relied on a statement not set out in the agreement, but nothing in this clause excludes liability for fraud or fraudulent misrepresentation.

17.3. No person other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

17.4. If any provision is illegal, invalid or unenforceable, it will be treated as modified to the minimum extent necessary or, if that is not possible, deleted. The remaining provisions will continue in force.

17.5. A delay or failure to exercise a right does not waive that right. A waiver is effective only if given in writing and applies only to the circumstances for which it is given.

17.6. Notices under these Terms must be in writing. You may contact us at webadmin@eve-taylor.com. We may contact you using the email or postal address registered to your Trade Account.

18. Governing law and jurisdiction

18.1. These Terms, each Order and any non-contractual dispute arising out of or in connection with them are governed by the laws of England and Wales.

18.2. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or an Order.
